Contract for international sale of goods

Upon the Client's (European company) requests specialists of Corporate Practice Law Firm examined a contract for international sale of goods. According to the contract the Seller (European company) shall transfer to the ownership of the Buyer (Russian company), and the Buyer shall pay for and accept the materials for processing (the goods) in the quantity, procedure and on the conditions stipulated by the contract.

The contract for international sale of goods provides for that the goods shall be supplied on the condition EXW according to Incoterms 2000.

The equipment purchase contract is composed of:

  • Subject-matter of the Contract;
  • Term of Delivery;
  • Packing and Marking;
  • Total Contract Value;
  • Procedure of Payment;
  • Warranties;
  • Liability of the Parties;
  • Force-majeure;
  • Reclamations;
  • Dispute Resolution and Governing Law;

  • Language, Bank Details, Legal Addresses and Signatures of the Parties.

When examination of the agreement was completed the contract for international sale of goods was amended to protect the rights and interests of the Seller (European company).

The contract was successfully negotiated and fully satisfied the interests of the parties. The contract for international sale of goods was signed and has successfully been used in practice.
